License Access Agreement
& Terms of Use
1. Purpose and Scope
SignQualify, LLC grants registered sign businesses limited access to utilize its qualifying licenses for the purpose of pulling sign permits in licensed states, subject to these Terms and Conditions. This agreement outlines the scope, usage, restrictions, and obligations governing this relationship.
2. Eligibility and Registration
Each Licensee must:

Be a legally registered business entity (LLC, Corp, etc.) within the United States.

Possess an active EIN and current business license.

Operate as an independent sign contractor or franchisee.

Complete the SignQualify registration and verification process, including uploading:

Business license
-
W9
-
Proof of insurance
-
Company EIN
-
Primary location address
-
Each account is assigned uniquely to a single Fastsigns (or other) center.
3. License Grant & Restrictions
The Licensee is granted:

A non-exclusive, non-transferable, revocable license to access SignQualify’s license system for permit applications within their registered state and location.

The right to submit one permit per month under the standard subscription. Additional permits may be submitted per pricing tier.
Restrictions:
-
Licensee may not share, transfer, sublicense, or permit access to other centers.
-
Each permit submission is restricted to ZIP codes within the registered location.
-
SignQualify reserves the right to suspend or revoke access for unauthorized activity.
4. Subscription and Payment Terms

One-time Onboarding Fee: $3,500
-
Monthly Subscription: $750 (includes 1 permit/month)
-
Additional Permit: $650 per permit
Billing occurs on a monthly recurring basis. Payments are non-refundable unless otherwise stated.
5. Use of Permit Templates & Submission Portal
-
All permit submissions must use SignQualify-provided templates.

Licensee must upload:
-
Completed application
-
Electrical drawing & scaled render
-
Site photo
-
-
SignQualify reviews and approves within 48–72 business hours.
-
Stamped and signed documents are returned for Licensee to file directly with the city.
6. Audit, Compliance & Misuse
-
SignQualify will track permit activity and flag violations.
-
Permit attempts outside of registered ZIP codes or frequent multi-location activity will trigger review.

Repeated violations may result in:
-
Suspension of license access
-
Termination of subscription
-
Legal action
-
7. Inspection & Close-Out Obligations
Licensee agrees to:
-
Complete installation work in accordance with the approved permit and applicable codes.
-
Schedule and pass all required inspections promptly.
-
Upload final inspection approval and job photos within 7 calendar days of installation completion.
Failure to comply will result in:
-
A written warning for the first infraction
-
A $250 penalty for each subsequent late or unclosed permit
-
Potential suspension of license access for repeat violations
8. Intellectual Property
All content, templates, logos, workflows, and system infrastructure remain the intellectual property of SignQualify, LLC. No rights are transferred beyond those expressly granted.
9. Termination

This agreement may be terminated by either party with 30 days written notice.

Immediate termination applies in cases of fraud, license abuse, or failure to comply with these terms.
-
Licensee remains responsible for all payments due prior to termination.
10. Confidentiality
All systems, templates, and operational methods are confidential. Licensee agrees not to reproduce, replicate, or disclose proprietary processes without written authorization.
11. Indemnification
Licensee agrees to indemnify and hold harmless SignQualify, its owners, and affiliates from all claims, damages, or losses arising from:

Misuse of licensing privileges

Failure to close permits properly
-
Unauthorized construction or electrical work
12. Governing Law & Dispute Resolution

This agreement is governed by the laws of the State of Delaware.

Any dispute shall be resolved via binding arbitration in Wilmington, Delaware.
13. Entire Agreement
This document constitutes the full agreement between the parties. Modifications must be made in writing and signed by both parties.
